Please read these Terms of Service carefully before using Zenai. They form a legal agreement between you (the business operator) and Zenai. By creating an account or using the Service, you agree to be bound by these Terms.
By creating an account or using Zenai ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you are using Zenai on behalf of a business, you represent that you have authority to bind that business to these Terms. If you do not agree, you may not use the Service.
Zenai provides AI-powered WhatsApp customer support automation for businesses. The Service includes a bot management dashboard, intent scripts editor, product catalog management, live conversation monitoring for agents, analytics, and subscription billing. Zenai is built on the official Meta WhatsApp Business Cloud API and uses Groq AI for natural language processing.
You must provide accurate, current, and complete information when creating your account, including your business name, a valid email address, and a WhatsApp Business phone number. You are solely responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You must notify us immediately of any suspected unauthorised access at legal@zenai.pro.
You agree not to use Zenai to: (a) send unsolicited commercial messages (spam) in violation of Meta's WhatsApp Business Messaging Policy; (b) distribute illegal, harmful, abusive, defamatory, or misleading content; (c) harass, threaten, or impersonate any person; (d) transmit malware, viruses, or malicious code; (e) circumvent any rate limits, security controls, or access restrictions; (f) resell, sublicense, or white-label the Service without prior written permission from Zenai; (g) use the Service in any manner that violates applicable law, including the Laws of Kenya or applicable data protection regulations. Violations may result in immediate account suspension or termination without refund.
Your use of Zenai is subject to Meta's WhatsApp Business Terms of Service and Messaging Policy. You are responsible for ensuring that your bot conversations, marketing messages, and use of WhatsApp Business features comply with Meta's policies. Zenai is not liable for account suspension or loss of WhatsApp Business API access caused by your non-compliance with Meta's policies.
Zenai operates on a subscription model. Pricing is published on zenai.pro and is subject to change with 30 days' notice. After the 7-day free trial period, a valid payment method is required to continue using the Service. Subscriptions renew automatically at the end of each billing cycle (monthly or quarterly, as selected) unless cancelled before the renewal date. Payments are processed via M-Pesa or card through our payment processors. All prices are in Kenyan Shillings (KSh) and are inclusive of applicable taxes.
You may cancel your subscription at any time from your account settings page. Cancellation takes effect at the end of the current paid billing period; your access continues until that date. We do not offer refunds for partial billing periods, except where required by applicable law. If your account is terminated by Zenai due to a violation of these Terms, you forfeit any remaining subscription period without refund.
Zenai targets 99.9% monthly uptime but does not guarantee uninterrupted, error-free, or secure access to the Service. Scheduled maintenance will be communicated at least 24 hours in advance via email or in-app notice. Downtime caused by Meta's WhatsApp API, Groq AI, Cloudinary, or other third-party services is outside Zenai's control and does not constitute a service breach.
All software, interfaces, branding, and content created by Zenai remain the intellectual property of Zenai and its licensors. Your business data, intent scripts, product catalog content, and conversation history remain yours. You grant Zenai a limited, non-exclusive, royalty-free licence to process, store, and display your content solely to provide the Service. You may not copy, reverse-engineer, or create derivative works of the Zenai platform.
Your use of Zenai is also governed by our Privacy Policy, available at zenai.pro/privacy. By using the Service, you consent to the data practices described in that policy. You are responsible for obtaining all necessary consents from your end-customers to process their WhatsApp messages through the Zenai platform and any third-party AI services.
To the maximum extent permitted by applicable law, Zenai shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from your use of or inability to use the Service. Zenai's total aggregate liability to you for any claim arising out of or related to these Terms or the Service shall not exceed the total subscription fees you paid to Zenai in the three (3) calendar months preceding the event giving rise to the claim.
You agree to defend, indemnify, and hold harmless Zenai, its directors, employees, and partners from any claims, losses, or expenses (including reasonable legal fees) arising from your use of the Service, your violation of these Terms, your violation of any third-party rights, or any content you transmit through the Service.
Either party may terminate these Terms at any time. You may terminate by cancelling your subscription and ceasing use of the Service. Zenai may suspend or terminate your account immediately for violation of these Terms, non-payment, or if required by law. Upon termination, your right to use the Service ceases. Data deletion follows the schedule described in our Privacy Policy.
Zenai reserves the right to modify these Terms at any time. We will notify you of material changes via email at least 14 days before they take effect. Your continued use of the Service after the effective date of updated Terms constitutes your acceptance of those changes.
These Terms of Service are governed by and construed in accordance with the laws of Kenya. Any dispute, claim, or controversy arising out of or relating to these Terms or the breach thereof shall be subject to the exclusive jurisdiction of the courts of Nairobi, Kenya. Both parties agree to attempt good-faith negotiation before initiating formal legal proceedings.
